The Perfectly Chilled Site is primarily an advertising platform for property owner/agent advertisers, hotel advertisers and travel, retail and lifestyle related advertisers. By using PerfectlyChilled.com, or the services offered by it, you are agreeing to be bound by these Terms & Conditions.

Access to and use of any information on this Site is conditional upon your acceptance of these Site use conditions without modification, please read them carefully and if you do not agree to these Terms & Conditions, please do not enter PerfectlyChilled.com, register as a member, subscribe to our newsletters or use any of the other email communication services that we provide.

Through Splendia, our exclusive hotel reservation partner, you can now check availability and make a direct booking for each hotel where you see the "Book now with Splendia" button on each advert. All bookings made through Splendia are subject to Splendia terms and conditions.

Conditions of access
Access to the Site is free, but personal details are required to advertise, subscribe to our newsletters and or to use any of our other email communication services. Your personal details are also required if you choose to use our integrated ‘make a booking enquiry’ facility to contact our hotel and property advertisers. By submitting your personal details, you agree to comply with both Perfectly Chilled’s Terms & Conditions and Privacy Policy accordingly, which shall prevail over any other terms or conditions contained or referred to in any other document and all such other terms and conditions are expressly excluded.

You also agree to respect the terms of the Perfectly Chilled Privacy Policy, and in no circumstances to alter the content of the Site.

Perfectly Chilled reserves the right to exclude, at its sole discretion, temporarily or indefinitely, any user for any reason, including breach of any of these Terms of Use or non-compliance with any UK or EU laws or regulations.

Use of the website
A condition of your continued use of this Site is that you agree not to use this Site for any purpose that is unlawful or prohibited by these terms and conditions or by other applicable laws and regulations. Your continued use of the Site also signifies that you indemnify Perfectly Chilled from any loss, damage or costs in connection with any breach of these conditions or any other legal obligation by you and your use of, or conduct on the Site.

1. Acceptance of terms & conditions
1.1 PerfectlyChilled.com is provided free of charge to you by Perfectly Chilled Travel Directory LLP ("Perfectly Chilled") under these terms & conditions (Terms & Conditions). These Terms & Conditions govern your use of PerfectlyChilled.com (whether you are a property or hotel member, a travel, retail or lifestyle related advertiser, newsletter subscriber or a visitor to the Site) and govern all services provided to you by Perfectly Chilled in connection with PerfectlyChilled.com. The contact details for Perfectly Chilled can be found within the Contact Us section of the Site.

1.2 PerfectlyChilled.com is intended for use by you in the [United Kingdom only]. We make no warranty or representation that PerfectlyChilled.com (or any element of it) is appropriate or available for use in locations outside the United Kingdom. Accessing PerfectlyChilled.com from territories where your access to it is prohibited or where such service (or any part thereof) is considered illegal or unlawful is not permitted under these Terms & Conditions. If you choose to access PefectlyChilled.com from locations outside the United Kingdom, you do so on your own initiative and you are responsible for compliance with all applicable local laws.

2. Booking conditions
Bookings are made with our online booking partners Splendia, and not with Perfectly Chilled. Splendia acts as the sole online booking agent for Perfectly Chilled. Full booking terms and conditions are supplied by Splendia, and can be viewed on our booking pages. You will need to confirm your acceptance of these terms and conditions when booking. Where payment or a deposit is due in advance to a hotel or to Splendia, this will be advised and itemised at the time of booking. Splendia will contact you directly to confirm booking.

The "Request Availability" button shows instead of "Book Now" if your chosen hotel does not offer live online booking through Perfectly Chilled. You will be able to enter your details on an enquiry form that goes directly to them. They will then respond to you directly by phone or email as soon as possible. This is normally within a few hours. Hotels moreover reserve the right to amend or reject bookings, or to change their booking conditions. To avoid disappointment, offers should be accepted as soon as possible if you wish to make a firm booking.

3. Amendments
2.1 We reserve the right to amend these Terms & Conditions from time to time without notice to you. Please check the Terms & Conditions periodically to see whether a change has been made to them. We may (at our discretion) provide you notice of such changes to any email address you have provided to Perfectly Chilled. If you do not agree with any change in these Terms & Conditions, please discontinue further use of PerfectlyChilled.com. Your continued use of PerfectlyChilled.com will signify your acceptance of any change in the Terms & Conditions set out here.

2.2 From time to time Perfectly Chilled may supplement these Terms & Conditions with additional terms applying to specific content or events, such as competitions ("Additional Terms"). Any Additional Terms will be clearly placed on PerfectlyChilled.com to be viewed in connection with the specific content or events. All Additional Terms will form part of these Terms & Conditions.

2.3 Perfectly Chilled may modify or discontinue PerfectlyChilled.com with or without notice to you and without liability to you or any third party.

4. Registration and subscriptions
3.1 Although sections of PerfectlyChilled.com may be viewed by anyone who visits the Site, you will be required to register as a member to advertise a property or hotel on the Site. Advertising packages for both hotel and property members are payable on an annual subscription basis and are non transferable. Travel, retail and lifestyle advertisers are not required to register as members to advertise on the Site and the associated advertising spaces for these type of advertisers are charged on a monthly basis. Perfectly Chilled offers free directory listings to select third party travel resource providers within the Travel Links area of the Site. Listings are selected for inclusion by Perfectly Chilled. Third party travel resource providers cannot pay to be included in the Travel Links area of the Site. Perfectly Chilled also offers free listings to select retail and lifestyle businesses within the Where to Buy Directory. Listings are selected for inclusion by Perfectly Chilled and businesses cannot pay to be included in the Where to Buy Directory.

Once registered property owner/agent advertisers will be able to use the control panel facility contained within the property advertisers members area and the interactive ‘My Assistant’ tool to manage, upload and edit their property advertisement.

You are not required to register with Perfectly Chilled to subscribe to our newsletter or to use any of our email communication services but you will be required to provide some personal details to us in order to use these services.

3.2 When you register or subscribe to Perfectly Chilled you are stating that you are over 18 years of age or are a minor over 13 years of age with parental consent to use the service you are registering for. PLEASE NOTE that all minors are recommended to discuss these Terms & Conditions with their parents or legal guardian before they complete any registration process or provide us with any information about themselves. We do not allow persons who we know to be 13 years of age or younger to register/subscribe to PerfectlyChilled.com.

3.3 You agree that any information you provide to us about yourself upon registration/subscription or at any other time will be true, accurate and complete and that you will ensure that this information is kept accurate and up to date at all times. Perfectly Chilled reserves the right to terminate your membership/subscription and access to any specific content if Perfectly Chilled learns that you have provided Perfectly Chilled with false or misleading registration information.

5. Passwords and security
4.1 When you register as a property owner/agent advertiser on PerfectlyChilled.com you will be provided with a unique Account Number and Password. You must keep this password confidential and must not disclose it to or share it with anyone. YOU WILL BE RESPONSIBLE for all activities that occur under your password. If you know or suspect that someone else knows your password you agree to notify us immediately at support@perfectlychilled.com

6. Intellectual property
5.1 The Perfectly Chilled Site is owned and operated by Perfectly Chilled Travel Directory LLP, a UK registered company. Its contents and all Rights therein are owned by Perfectly Chilled (and/or its licensors). "Rights" means copyright, database rights, trade marks, design rights and other intellectual and proprietary rights of whatever nature, anywhere in the world. You acknowledge that (i) Perfectly Chilled is protected by Rights; (ii) these Rights are valid and protected in all media and technologies existing now or later developed; and (iii) except as explicitly provided otherwise, these Terms & Conditions and applicable copyright, trademark and other laws govern your use of such Rights.

5.2 You may view, print, download or temporarily store extracts from Perfectly Chilled for your personal, non-commercial reference without alteration, addition or deletion. You may not otherwise copy, reproduce, retransmit, distribute, publish, commercially exploit or otherwise transfer any PerfectlyChilled.com material or content. You acknowledge that you will not acquire any Rights by downloading or otherwise using any PerfectlyChilled.com content or materials.

5.3 By submitting content and or images, you grant Perfectly Chilled and its affiliates a royalty-free, perpetual, irrevocable, non-exclusive right and licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, communicate to the public, perform and display the content (in whole or in part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed, for the full term of any Rights that may exist in such content. You also permit any site visitor to access, display, view, store and reproduce such content for personal use.

5.4 By submitting content and images, you also warrant that you are entitled and have all necessary rights to grant the licences stated above. Subject to the foregoing, the owner of such content placed on Perfectly Chilled retains any and all Rights that may exist in such content.

6.1 Perfectly Chilled provides links to third party websites that are not affiliated with Perfectly Chilled. We make no representations as to the quality, suitability, functionality or legality of any sites to which we may provide links or any goods or services available from such sites.

6.2 All matters concerning any goods and services that you purchase from a third party site, including without limitation all contract terms are solely between you and the owner of that site and Perfectly Chilled will not be liable for any costs or damages to you or any third party arising directly or indirectly out of any third party website. You hereby waive any claim you might have against Perfectly Chilled with respect to any such sites.

6.3 Subject to the terms of our Privacy Policy, third parties may, from time to time, send email messages to you containing advertisements, promotions, etc. Perfectly Chilled makes no representation or warranty with respect to the content of any email messages sent by third parties or any goods or services which may be obtained from such third parties as a consequence of these emails, and you agree that Perfectly Chilled shall have no liability with respect thereto.

8. Disclaimer of warranties
7.1 PerfectlyChilled.com is provided on an "as is" and "as available" basis. Perfectly Chilled expressly disclaims all warranties or representations of any kind, express or implied, to the fullest extent permitted by law.

7.2 You understand and agree that Perfectly Chilled does not guarantee the accuracy or completeness of any information in or provided in connection with PerfectlyChilled.com. Perfectly Chilled is not responsible for any errors or omissions or for the results obtained from the use of such information. Whilst PerfectlyChilled.com is provided for the general information of the general public, all information is provided on the basis that neither Perfectly Chilled, its employees or consultants or its members, while such members are participating in PerfectlyChilled.com, are engaged in rendering legal, medical, counselling or other professional services or advice. Perfectly Chilled advises you to seek appropriate professional advice or care for any situation or problem which you may have.

7.3 Perfectly Chilled shall not be responsible for any loss or damage caused directly or indirectly, by the information or ideas contained, suggested or referenced on PerfectlyChilled.com. Your participation in PerfectlyChilled.com is solely at your own risk. No advice or information, whether oral or written, obtained by you from Perfectly Chilled or through PerfectlyChilled.com shall create any warranty not expressly made in these Terms & Conditions or imposed by law.

7.4 Perfectly Chilled makes no warranty that PerfectlyChilled.com will meet your requirements, or that the PerfectlyChilled.com network will be uninterrupted, timely, secure, or error free; nor does Perfectly Chilled make any warranty as to the results that may be obtained from the use of PerfectlyChilled.com.

7.5 You understand and agree that any material and/or data downloaded or otherwise obtained through the use of PerfectlyChilled.com is at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data.

9. Limitation of liability
8.1 Except as required by law, Perfectly Chilled shall not be liable for any indirect, incidental, special or consequential losses or damages or loss of profits, data, goodwill, revenue in each case regardless of whether such losses or damages arise in the normal course of events or whether Perfectly Chilled has been advised of the possibility of such damages.

8.2 Perfectly Chilled will not be liable for any such losses or damages whether arising in contract, tort (including negligence) or otherwise arising out of or in connection with this Site including without limitation the use or the inability to use PerfectlyChilled.com, or messages received, or transactions entered into through PerfectlyChilled.com, or resulting from unauthorised access to or alteration of your transmissions or data.

8.3 Nothing in these Terms & Conditions shall operate to exclude or restrict Perfectly Chilled’s liability for death or personal injury caused by negligence.

10. Emails sent to Perfectly Chilled
Perfectly Chilled assumes no responsibility for the deletion of or failure to store e-mail messages. Whilst the security of your personal information is a priority to us, you should be aware that e-mails you send to us are not necessarily secure when they are transmitted to us.

11. Termination & remedies for breach of these terms by you
10.1 Perfectly Chilled will be entitled to restrict, suspend or terminate your membership/subscription or deny you access to PerfectlyChilled.com or take such other action as Perfectly Chilled deems appropriate if Perfectly Chilled determines, in its sole discretion, that you are in breach any of the Terms & Conditions or Perfectly Chilled considers in its sole discretion that your use of Perfectlychilled.com is inappropriate or otherwise unacceptable.

10.2 The restriction, suspension or termination of our service pursuant to this section will be without prejudice to any rights which Perfectly Chilled may have against you in respect of your breach of these Terms & Conditions.

10.3 Perfectly Chilled shall be entitled to disclose your user identity and details if required or requested by the courts or other law enforcement authorities and/or agencies or in such other circumstances as specified in our Privacy Policy.

12. Indemnification
You agree to indemnify and hold each of Perfectly Chilled’s, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of PerfectlyChilled.com, the violation of these Terms & Conditions by you, or the infringement by you, or any other user of your account, or of any intellectual property or other right of any other person or entity.

13. Applicable law
These Terms & Conditions shall be governed by and construed in accordance with the laws of England and any dispute shall be subject to the exclusive jurisdiction of the English courts.

All bookings made through Splendia are subject to Splendia terms and conditions. Only hotels with the " Book now with Splendia" button are subject to Splendia terms and conditions.

14. Advertisers
13.1 The content, images and graphics in all advertisements are subject to Perfectly Chilled approval and selection criteria. Perfectly Chilled reserves the right to reject or cancel any advertisement, insertion order, space reservation or position commitment at any time. In addition, PerfectlyChilled.com shall have the right to reject any URL link embodied within any advertisement. Perfectly Chilled does not accept responsibility for late submission of travel, retail or lifestyle related advertisement material. This can affect campaign delivery.

13.2 For a full travel, retail or lifestyle related campaign refund, cancellations or changes in orders must be made in writing by email at least five working days before the booked date.

13.3 No refunds will be given to property or hotel advertisers for annual listing membership fees.

13.4 Responsibility for accuracy and currency of ‘Property’ information:
Perfectly Chilled makes no representation as to the accuracy or currency of the information contained within the Perfectly Chilled Site. The property details content is the sole responsibility of the owner or agent of the property displayed. Perfectly Chilled has not confirmed the currency or accuracy thereof and accordingly website visitors are strongly recommended to make their own investigations into the authenticity of any information supplied. Perfectly Chilled are in no way liable for any inaccuracies or misleading statements made in the information provided by the owner or agent of properties on the Site.

13.5 Responsibility for accuracy and currency of ‘Hotel’ information:
Perfectly Chilled makes no representation as to the accuracy or currency of the information contained within the Perfectly Chilled Site. The hotel details content is the sole responsibility of the hotel owner of the hotel displayed. Perfectly Chilled has not confirmed the currency or accuracy thereof and accordingly website visitors are strongly recommended to make their own investigations into the authenticity of any information supplied. Perfectly Chilled are in no way liable for any inaccuracies or misleading statements made in the information provided by the hotel owner of hotels on the Site.

13.6 Responsibility for accuracy and currency of ‘Travel, Retail and Lifestyle’ related information:
Perfectly Chilled makes no representation as to the accuracy or currency of the information contained within the Perfectly Chilled Site. The travel, retail and lifestyle related advertisers content is the sole responsibility of the advertiser displayed. Perfectly Chilled has not confirmed the currency or accuracy thereof and accordingly website visitors are strongly recommended to make their own investigations into the authenticity of any information supplied. Perfectly Chilled are in no way liable for any inaccuracies or misleading statements made in the information provided by the travel, retail and lifestyle related advertisers on the Site.

13.7 Multiple property or hotel advertisements:
A property or hotel advertisement on Perfectly Chilled pertains to one advertisement unit, not multiple units, nor example of properties or hotels in a certain region. Only one unit should be represented in any one advertisement. Perfectly Chilled reserves the right to amend or remove any property or hotel advertisements which do not comply with these terms.

13.8 Exchanging or rotating property or hotel advertisements:
A property or hotel advertisement on Perfectly Chilled relates to a specific hotel or property and this advertisement must not be substituted or rotated for another by way of changes to the text and photographs. If an advertiser is found to have changed the advertisement, Perfectly Chilled reserves the right to suspend or remove the advert in question.

13.9 Termination of an advertisement page:
If Perfectly Chilled receives substantiated complaints from any number of Site users about a specific advertisement misrepresenting a property or hotel, its surroundings or services provided, then we reserve the right to remove the Advertisement Page without notice, and retain payment. If an advertiser attempts to enter unsuitable material into the online database, or persistently misuses the online systems, Perfectly Chilled reserves the right to remove the associated Property or Hotel Page(s) from the Site. Full payment will be retained. Perfectly Chilled reserves the right to refuse or remove any Property or Hotel Page from the Site that it considers unsuitable, incomplete or misleading, and will not be liable for any expense in doing so. Perfectly Chilled reserves the right to refuse any Property or Hotel Page from its Site where the content fails to meet our minimum requirements. If advertisers wish to have their Property or Hotel Page removed from the Site or cancel their membership before the end of their subscription, this will be done as soon as we receive formal notice from the registered member by email at support@perfectlychilled.com. No refunds will be given.

13.10 Contactability:
In the interest of maintaining a high level of service to visitors using the Site, we require all property or hotel advertisers to be available to respond to enquiries by telephone or email. Should advertisers be unavailable for a period of more than 1 week, we ask them to leave an answer phone message to that effect or to set up an out of office response on their email account or provide alternative contact details in their absence.

13.12 External links:
Perfectly Chilled reserves the right to remove from adverts both email addresses and links to external websites which the team feel are not appropriate, or act against the interests of the company or its advertisers. The ultimate responsibility and authority for determining the aforementioned rests solely with Perfectly Chilled. Should an advertiser add a link or email address without consent, re-add a link or email address after its removal or remove reciprocated links from their website, we reserve the right to cancel their advertising without a refund.

13.13 Payment details:
When a new property or hotel advertisement has been approved by the Perfectly Chilled team and is ready to go live on the Site, payment should be made on that same day. If payment is being made by credit or debit card this can be processed online by [PayPal], our online card payment provider.
Alternatively we can accept payments via Bank Transfer. Please note that if you would prefer to pay for your advertising by Bank Transfer, you will be responsible for paying any bank charges. Please send us an email if you would like further details regarding our terms and conditions regarding Bank transfers. There will be an additional charge of £10 to cover charges by our bank for receiving the transfers. (This applies to all currencies accept the UK pound) The transfer must be in UK pounds. The advert will only be added to the website following receipt of bank transfer and funds have cleared.

13.14 Refund policy for Retail, Travel and Lifestyle advertisers only:
Perfectly Chilled provides an advertising service rather than a physical product. We offer a 'cooling off period' of seven working days wherein a customer may cancel the requested advertising by email to support@perfectlychilled.com or by use of the 'contact us' form on the Site). We will then supply a refund less a £10 administration fee and notification by email.

13.15 Changes to pricing and conditions:
Perfectly Chilled reserves the right to change the advertising rates and conditions without notice. Any new rates will be applicable immediately for all new adverts and renewals for both new and existing customers.

13.16 Copyright authorities:
The advertiser represents and warrants that he/she (a) owns the copyright in the photographic and textual material supplied by him/her to Perfectly Chilled (the Material) or (b) has been authorised by the owner of the copyright in the Material to grant Perfectly Chilled permission to use the Material as contemplated below. The advertiser grants Perfectly Chilled a perpetual, royalty-free licence to use the Material for promotional purposes (including marketing and public relations material). The advertiser irrevocably and unconditionally indemnifies Perfectly Chilled immediately on demand against any cost, loss or liability (including legal costs), which Perfectly Chilled may incur by reason of any breach of copyright arising from its use of the Material. The advertiser understands that it may not reproduce photographic or textual material from any part of the Site without prior permission from the relevant copyright owner.

15. Changes to the site and site unavailability
14.1 We may change, suspend or discontinue any aspect of the Site at any time, including the availability of any Site features, database, or content, where we have legal, commercial or technical reasons to do so. We may also impose limits on certain features or services or restrict your access to parts or all of the website for similar reasons.

14.2 There may also be times when the Site may become inaccessible as a result of technical difficulties experienced by us or on the Internet. We will, however, use reasonable skill and care to overcome these difficulties where they are within our control. Please note, however, that we cannot guarantee continuous access to the Site or any of its specific features.

16. Liability
Perfectly Chilled does not warrant that the operation of the Site will be uninterrupted or error free. In no event shall Perfectly Chilled become liable to the advertiser for any special, consequential, incidental or indirect damages, including lost profits, however caused, on any theory of liability, including but not limited to product liability.

17. Miscellaneous
16.1 In the event that any provision of the Terms & Conditions conflicts with the law under which the Terms & Conditions are to be construed or if any such provisions are held invalid by a court with jurisdiction over the parties to the Terms & Conditions, such provision will be deleted and the remainder of the terms of these Terms & Conditions will remain in full force and effect.

16.2 Any failure or delay by us to enforce strict performance by you of any of the Terms & Conditions or to exercise any right under the Terms & Conditions will not be construed as a waiver to any extent of our rights.

16.3 Perfectly Chilled may assign its rights and obligations under these Terms & Conditions and upon such assignment Perfectly Chilled shall be relieved of any further obligation under these Terms & Conditions.

16.4 These Terms & Conditions, any Additional Terms (as defined in section 2 above) and the Privacy Policy constitute the entire understanding between you and us as to your use of PerfectlyChilled.com and supersede all prior agreements and understandings between us and you. Nothing in these Terms & Condition shall operate to exclude or restrict your or our liability for fraudulent misrepresentation.

18. Copyright protection and trademark notice/intellectual property rights
Material and software on this Site is copyright protected. Other than using it for your own personal use the material may not otherwise be used or copied without the prior written approval of Perfectly Chilled or the person/body who listed that information on the Site. All content, including but not limited to trademarks and taglines identifying us or our affiliates, graphics, images, content, button icons, and service names are solely our property, that of third party affilliates /companies, or others. All content on this Site is protected by national and international copyright laws and treaties. Nothing on this Site should be construed as granting a licence or right to use any trademark displayed on this Site, without the written permission of the trademark owner.

Other than browsing and using the Site for its intended purpose, you may not in any way duplicate, distribute, modify, remove, delete, add to, publish, transmit, or in any way exploit any of the content of this Site, in part or in whole, except when expressly authorised in writing by us.

You may not use our logo for any purpose whatsoever, unless the intended use of the logo is to promote the services of this Site and is approved by us in writing.

We reserve the right to seek all remedies available at law, in equity or under international copyright laws for violations of these Legal Terms, including the right to block access from a particular internet address to the Site.

19. Cancellations
If for any reason you need to cancel your holiday or booking, please contact the advertiser direct. As Perfectly Chilled does not take part in the booking process, the cancellation has to be negotiated between you and the advertiser. Most advertisers will have booking contracts that specify what will happen in the case of a cancellation.
